1. Introductory provisions, definitions
1.1. These Terms of Service (the Terms) set out the conditions for using the subscription software service called Crewory (the Service), available at https://crewory.app and provided by Pagency Solution Kft. (the Provider).
1.2. The Provider offers the Service exclusively to businesses: agencies and digital service providers that resell the Service to their own clients, in their own name and under their own brand, or use it for their own operations. A consumer (a natural person acting outside their trade, business or profession) may not be a Subscriber.
1.3. Definitions:

| Trial Period | the free 14-day trial under section 8 |
1.4. Matters not regulated in these Terms are governed by Hungarian law, in particular Act V of 2013 on the Civil Code (Civil Code) and Act CVIII of 2001 on electronic commerce services (E-commerce Act). Data processing is governed by Regulation (EU) 2016/679 (GDPR) and Act CXII of 2011 on informational self-determination (Privacy Act).

3. Scope, acceptance and availability of the Terms
3.1. The Terms take effect on 21 October 2026 for an indefinite period. The current text is always available at https://crewory.app/jog/aszf in a form that can be downloaded, printed and stored (E-commerce Act § 5(1)). Related documents: privacy notice — https://crewory.app/jog/adatkezeles; data processing agreement — https://crewory.app/jog/adatfeldolgozoi-szerzodes; subprocessor list — https://crewory.app/jog/alvallalkozok; imprint — https://crewory.app/jog/impresszum; price list — https://crewory.app/pricing.
3.2. By applying to the partner programme or using the Service, the Partner declares that it has read and accepts the Terms, the Price List, the Privacy Notice and the Data Processing Agreement. The Provider records the fact, time and accepted version of the acceptance and keeps this log for 5 years after the subscription ends.
3.3. Highlighted terms (deviating from usual contractual practice) — Civil Code § 6:78(2). The Provider draws the Partner's particular attention to the following provisions, which become part of the contract only by the Partner's express acceptance:
- the Partner's responsibility towards its Clients and their Users, and for them towards the Provider (6, 15),
- the Trial Period automatically becoming paid, and the automatic charges that follow (8, 9),
- the automatic renewal of the Subscription Period (9),
- the possibility and procedure of unilateral fee changes (10.5),
- suspension of the Service for late payment or breach of contract (11, 12.3),
- deletion of User Data — including Client Space data — after the grace period following termination (13),
- the limitation of liability (18),
- the use of artificial intelligence and the related transfer of data outside the European Union (4.6, 16.4),
- unilateral amendment of the Terms (19),
- the choice of court (20.4).
3.4. The language of the Terms is Hungarian. The Provider also publishes an English translation; in case of any discrepancy, the Hungarian text prevails.
4. Description of the Service
4.1. Crewory is a web-based (browser) business management and customer relationship system in which the workspace — partly through conversation with artificial intelligence — can be shaped to reflect how the business operates. Its main elements:
- AI admin: learns how the business works through conversation and proposes how to set it up; a proposal is applied only after approval;
- objects and records (e.g. client, job, task, quote) with freely definable fields, views, reports, data import and export;
- automations (scheduled or event-triggered actions, notifications);
- public website and landing pages, with forms, booking pages and quotes accepted via a link;
- integrations: receiving an external website's form, a webhook or an embedded form (6.5);
- email: system emails, automation emails and newsletters (4.5);
- branding (white-label) and management of Client Spaces (6);
- voice use (speech-to-text and read-aloud), and the option to link with the AI marketer product (16.5).
4.2. The Service is provided as software as a service (SaaS), as a continuously supplied digital service. The Provider does not hand over the Service in installable form and does not release source code.
4.3. Technical requirements. Using the Service requires an internet connection and an up-to-date browser: the two most recent releases of Chrome, Firefox, Safari and Edge. Data can be exported in JSON (full content) and CSV (per object) formats (13.2).
4.4. Development, changes. The Provider continuously develops the Service and provides the updates — including security updates — needed to keep it in conformity for the whole term of the contract. The Provider may change the functions of the Service; if a change is disadvantageous to the Partner and not negligible, the Provider gives 30 days' notice before it takes effect (under section 19), and the Partner may terminate free of charge until then.
4.5. Email and newsletter. The Service sends system messages (e.g. invitation, password reset, confirmation, booking confirmation), automation emails set up in the workspace, and newsletters. Emails are sent from the workspace's own verified domain or, failing that, from the Service's shared address with the workspace's name and reply-to address. The newsletter function supports logging of consent, double opt-in, free unsubscription per recipient, measurement of opens and clicks, and — based on the sending provider's delivery feedback — blocking of non-existent or complaining addresses. Under 15.5 the workspace owner is responsible for the lawfulness of advertising emails.
4.6. Artificial intelligence — transparency. The Partner acknowledges, and passes on to its Clients, that certain functions of the Service (in particular the AI admin and the AI assistant under 14.3) run on artificial intelligence: in these the User communicates not with a human but with an AI system. AI output may be incorrect, incomplete or misleading; checking it before approval is the User's responsibility. AI output does not constitute legal, tax, accounting, medical or other professional advice. The AI functions involve data transfer outside the European Union, governed by 16.4 and the Privacy Notice.
5. The partner programme and conclusion of the contract
5.1. Technical steps of contracting (E-commerce Act § 5(2)):
- partner application on
https://crewory.app(name, email address, password, company name, phone number), with confirmation of the email address; - review of the application: the Provider checks it against the partner programme criteria and, if accepted, activates the Partner's workspace; the Provider may reject an application without giving reasons;
- choice of package, display of the fees and the charge date (Price List);
- acceptance of the Terms, the Price List, the Privacy Notice and the Data Processing Agreement, and separate acceptance of the highlighted terms under 3.3;
- entry of billing details and — if the Provider requests — card details on the payment provider's (Stripe) interface;
- submission of the order;
- the Provider confirms receipt of the order electronically without delay, at the latest within 48 hours (E-commerce Act § 6).
5.2. The contract is concluded by the Provider's electronic confirmation of the order, in Hungarian, as a contract concluded by electronic means. It is not a contract in writing; the Provider files it electronically and keeps it together with the accepted versions; it is accessible to the Partner in its Account or on request to hello@pagency.hu.
5.3. Correcting input errors. Data can be freely changed until the order is submitted; afterwards the Partner may request correction in its Account or by writing to hello@pagency.hu.
5.4. The person applying on behalf of the Partner warrants that they are of age, authorised to represent the Partner, that the Partner contracts as a business within its economic activity, and that the data provided — including the tax number — are true.
5.5. The Account is personal; keeping login details secret is the User's responsibility. The Service offers two-factor login (authenticator app); since a partner login also gives access to the Client Spaces' data, the Provider expressly recommends its use for the Partner's Users. A login session is valid for at most 30 days. If misuse is suspected, the Partner must notify the Provider immediately at hello@pagency.hu.
6. Client Spaces and the Partner's clients
6.1. Opening a Client Space. The Partner may open the number of Client Spaces included in its package and may extend this under the Price List. Each Client Space is a separate workspace; Client Spaces cannot access each other's data. The Partner's Users have access to the Partner's Client Spaces.
6.2. Resale in the Partner's name. The Partner provides the Service to its Clients as part of its own service, in its own name and on its own terms; it sets its own price and invoices its Clients itself. The Partner may not act in the name of the Provider, assume obligations on its behalf, or make commitments to its Clients at the Provider's expense that are more favourable than these Terms (e.g. availability, data retention, support).
6.3. The Partner's obligations towards its Clients. The Partner must:
- conclude a written (electronic) contract with its Clients containing obligations at least equivalent to the rules of use in section 15 of these Terms, and informing them about the use of artificial intelligence (4.6);
- conclude a data processing agreement under GDPR Art. 28 with its Clients, naming the Provider as a further processor together with the subprocessor list (16.2);
- inform its Clients' Users that the system is operated by the Provider and that the data relating to their accounts is processed by the Provider under the Provider's Privacy Notice (the branded interface refers to it on the login page and in the invitation email);
- ensure that its Clients and their Users use the Service in accordance with these Terms, and end any infringement it becomes aware of without delay;
- provide first-line support to its Clients (the AI assistant built into the Service helps with this; the Provider supports the Partner, 14.3).
6.4. Closing or transferring a Client Space. The Partner may close a Client Space; its data can be exported before closure (13.2). If a Client ends the Partner's service and requests its data, handing it over is the Partner's task. At the joint request of the Partner and the Client, the Provider may — under a separate agreement — transfer the Client Space to another Partner or to a direct subscription.
6.5. Integrations and public forms. Data may also arrive in a workspace through an external website's form, a webhook or an embedded form; the workspace owner manages the integration key and is responsible for the lawfulness of the data collected on the integrated site (information, consent). The Provider may limit integration traffic for security reasons.
6.6. Branding and own domain. The Partner may display the Service with its own name, logo, colour and on its own domain. Using an own domain requires the Partner to prove control of the domain with the DNS records specified by the Provider; the Provider then activates the domain. Branding does not affect 17.1.
7. Packages, fees, allowances
7.1. Partner packages and fees. The name and monthly fee of the partner packages, the number of Client Spaces included, the fee and unit of extending Client Spaces, and the allowances of the packages and Client Spaces are set out in the Price List, which forms part of the Terms. Fees are monthly fees; the Provider invoices the Partner.
7.2. VAT. The Provider shows VAT on the invoice in accordance with the applicable law; for a taxable Partner in another Member State — where the legal conditions are met — under the reverse-charge mechanism. The Price List indicates whether the listed fees include VAT.
7.3. AI Units and allowances. Operations using AI consume AI Units. Each Client Space and the Partner's own workspace has its own monthly AI allowance and — under the Price List — a one-off build allowance; one workspace does not consume another's. Usage can be followed on the interface. The consequence of exhausting the allowance (AI functions pausing until the next period or — where the Price List allows — an additional allowance) is set out in the Price List; the other functions of the Service keep working regardless.
7.4. Limits. When the limits of a package or Client Space (e.g. number of public pages and automations) are reached, the Service shows this on the interface; no further items can be created above the limit until the package is changed or extended.
7.5. Changing packages. Upgrading and extending Client Spaces take effect immediately, with the difference charged pro rata. Downgrading and reducing extensions take effect on the first day of the next Subscription Period; fees already paid are not refunded in this case.
7.6. Introductory (founding) fee. The Provider may grant Partners joining during the beta a discounted fee on the terms and for the period announced in the Price List; after it expires the list price applies, of which the Provider gives notice under 10.5.
8. Trial Period
8.1. The Provider offers a free 14-day Trial Period, starting when the Partner's workspace is activated.
8.2. The Provider may require a payment card to start the Trial Period. The Provider does not see or store card details; they are handled by the payment provider (Stripe). No charge is made during the Trial Period, except for an immediately released authorisation hold to verify the card, if the payment provider applies one.
8.3. End of the Trial Period and first charge. If the Partner does not cancel before the end of the Trial Period, the contract automatically becomes paid: on the day after the last day of the Trial Period the Provider charges the card with the monthly fee of the chosen package under the Price List, and thereafter monthly on the first day of each Subscription Period. Without a payment card, the Provider requests payment (by pro forma invoice or a payment link); until payment, section 11 applies.
8.4. Reminder. At least 3 days before the Trial Period ends and the first charge is made, the Provider sends an email reminder stating the charge date, the amount and how to cancel.
8.5. Cancelling during the Trial Period. The Partner may cancel during the Trial Period at any time, without giving reasons and without any fee, in its Account or by email to hello@pagency.hu. No charge is made and the contract ends on the last day of the Trial Period; section 13 applies to the workspaces' data.
8.6. The Trial Period may be used once per Partner. The Provider may refuse or end it in case of misuse (e.g. repeated applications for the same purpose).
9. Term and automatic renewal
9.1. The contract is concluded for an indefinite period, with one-month Subscription Periods.
9.2. Automatic renewal. Unless terminated, the subscription renews automatically at the end of each Subscription Period, and the Provider charges the card with the fee due on the renewal date. The Partner can prevent renewal at any time before the next period starts in its Account (termination, 12.1).
9.3. Monthly only. Unless individually agreed otherwise, the Provider offers monthly subscriptions only.
10. Payment, invoicing, fee changes
10.1. Payment method. Fees are paid by card via Stripe (Stripe Payments Europe, Limited, Ireland). The Provider does not see or store card details; they are handled exclusively by Stripe in line with the applicable security standards (PCI DSS). By individual agreement the Provider may accept bank transfer.
10.2. Recurring charges. By entering card details the Partner expressly authorises the Provider to collect the fee due from the card monthly, without approval of each transaction. The payment provider may apply strong customer authentication (SCA) at the first charge.
10.3. Invoice. The Provider issues an electronic invoice for every transaction in the Billingo invoicing system, sends it by email and makes it available in the Account, and reports invoice data to the Hungarian tax authority's Online Invoice system (NAV Online Számla). The Partner is responsible for the accuracy of its billing details.
10.4. The fee is due on the charge date. Payment is made when the amount is credited with the Provider's payment provider.
10.5. Fee changes.
- The Provider may change the Price List for good reason, in particular changes in law or tax, increases in the fees of subcontractors used to provide the Service (hosting, AI, email, payment), inflation (Hungarian CPI), or a substantial expansion of the Service's functions.
- The Provider gives notice of a fee change by email and on the interface at least 30 days before it takes effect.
- Until the increased fee takes effect, the Partner may terminate free of charge with immediate effect; if it does not, the changed fee applies from the next Subscription Period.
- A fee increase does not affect a Subscription Period already started and paid.
11. Late payment, suspension
11.1. Failed charge, grace period. If a charge fails, the Provider notifies the Partner and retries several times during the grace period. The Partner has a 10-day grace period from the failed charge. During the grace period the Service remains fully usable; from day 5 the Provider shows the unpaid fee, the last day of the grace period and the consequences of suspension in a clearly visible banner and by email.
11.2. Suspension. If the fee is not paid within the grace period, the Provider suspends the Service in the Partner's workspace and Client Spaces: writing, automations, AI functions and the serving of public pages pause; reading and exporting data (13.2) remain available throughout the suspension. Suspension ends when the debt is settled.
11.3. Termination and deletion. If the fee is not paid within 30 days of suspension, the Provider may terminate the contract with immediate effect under 12.3; the notices under 11.1 and 11.4 count as the demand under 12.3. These 30 days of suspension are also the grace period under 13.1.
11.4. Suspension and termination do not end the obligation to pay for periods already provided. The Provider sends a separate notice at least once before suspension and before termination.
11.5. Default interest. In case of late payment the Provider is entitled to default interest under Civil Code § 6:155 and to a fixed recovery cost of the HUF equivalent of EUR 40 under Act IX of 2016.
12. Termination of the contract
12.1. Termination by the Partner. The Partner may terminate the contract at any time, without giving reasons, in its Account or by a statement sent to hello@pagency.hu. Termination takes effect on the last day of the current Subscription Period; no further charges are made. Fees already paid are not refunded, except in the cases under 4.4, 10.5 and 16.4.
12.2. Ordinary termination by the Provider. The Provider may terminate the contract by email with 30 days' notice; in this case it refunds the pro rata part of fees paid but not used.
12.3. Termination with immediate effect. Either party may terminate with immediate effect if the other party seriously breaches the contract and does not remedy the breach within 8 days of a written demand. Serious breach includes in particular use prohibited under section 15 — whether by the Partner or by one of its Clients or Users —, late payment under 11.3, and conduct endangering the security of the Service. In case of use that violates the law or the rights of others, or that directly endangers the security of the Service or other Users, the Provider may suspend access to the affected workspace or Account even without prior demand; it notifies the Partner without delay, giving reasons.
12.4. Termination does not affect claims arising before termination, nor provisions which by their nature survive termination (confidentiality, liability, intellectual property, data processing, dispute resolution).
13. Data at the end of the contract
13.1. Availability. After the contract ends, the Provider keeps the User Data — in the Partner's workspace and in the Client Spaces — for a 30-day grace period, during which it remains available for reading and export. On termination for late payment, the grace period is the 30 days of suspension under 11.3. Serving of public pages stops when the contract ends. The Partner must inform its Clients of the termination in good time and enable them to obtain their data.
13.2. Export. During the contract and the grace period, User Data can be exported at any time, free of charge, self-service and immediately, per workspace, from the Settings page: JSON (full content) and CSV (per object). Export can also be requested at hello@pagency.hu; the Provider then delivers it within 30 days. Export does not cover the Service's own operational data (e.g. system logs) or elements that are the Provider's intellectual property.
13.3. Deletion. After the grace period the Provider permanently deletes the User Data — including attachments, logo and the content of published pages —, except data it is required by law to keep (in particular accounting records). Data drops out of the backups according to the backup cycle, within 35 days at the latest.
13.4. On request the Provider confirms the deletion in writing.
14. Availability, maintenance, support, backup
14.1. Availability. The Provider provides the Service with the care reasonably expected of it, aiming for continuous availability; it does not commit to a percentage availability (SLA). Planned maintenance, force majeure, and outages within the sphere of the Partner, the Client or a third party (e.g. internet provider, DNS, an external service connected to the workspace) are not outages within the Provider's sphere. In case of failure the Provider restores the Service from the backup under 14.5; it does not commit to a fixed restoration time.
14.2. Planned maintenance. The Provider schedules planned maintenance for low-traffic periods where possible and publishes a notice at least 48 hours in advance. Extraordinary, security-related maintenance may be carried out without prior notice.
14.3. Support. The Provider supports the Partner, primarily through the AI assistant built into the Service, which is available 24 hours a day and records matters outside its remit as tickets; the Provider responds to tickets and to messages sent to hello@pagency.hu within 24 hours. The AI assistant is also available in the Client Spaces; first-line support for Clients is the Partner's task under 6.3. Individual work beyond the intended operation of the Service (e.g. custom setup, data migration) is performed by the Provider on separate order, by prior agreement, at the hourly rate published in the Price List.
14.4. Fault reporting. The Partner can report a fault to the AI assistant or at hello@pagency.hu, describing the fault; the Provider investigates and fixes it within a reasonable time.
14.5. Backup. The Provider makes a daily backup of the database, and a weekly full and daily incremental backup of uploaded files; backups are stored encrypted (AES-256) on the server, and an encrypted copy is also kept with an independent, EU-based storage provider (per the subprocessor list). Database backups are kept for 14 days and file backups for 35 days. Backups do not replace the Partner's own exports.
15. Obligations and responsibility of the Partner
15.1. Lawful use. The Partner, its Clients and the Users may use the Service only for lawful purposes, in compliance with the law and these Terms. The Partner is responsible to the Provider for the conduct of its Clients and the Users.
15.2. Prohibited use. It is prohibited in particular to:
- store, publish or send content that is unlawful, infringes the rights of others (copyright, trademark, personality rights), is misleading, incites hatred or is otherwise illegal;
- send unsolicited advertising (spam) or use address lists without consent;
- circumvent, overload, break into or reverse-engineer the Service's security measures, or overload it with automated requests;
- resell the Service other than through Client Spaces as regulated in section 6;
- enter data for which the workspace owner has no legal basis.
15.3. Responsibility for data processing. For the User Data, the controller is the Partner in its own workspace and the Client in a Client Space; the Provider is a processor under section 16. The workspace owner is responsible in particular for:
- having an appropriate legal basis for the processing;
- informing the Data Subjects and having its own privacy notice;
- obtaining and being able to prove the necessary consents;
- answering data subject requests on time.
The Service is not designed for special categories of data (GDPR Art. 9, e.g. health data); such data may be entered only with an appropriate legal basis, at the workspace owner's responsibility.
15.4. Data processing agreement. The processing under 15.3 is governed by the Data Processing Agreement (DPA), which forms an integral part of these Terms and which the Partner concludes by accepting the Terms.
15.5. Advertising email. Email containing advertising may be sent through the Service only with the recipient's prior, unambiguous and express consent (Hungarian Act XLVIII of 2008, § 6). The Service provides a consent log, double opt-in and free unsubscription for this; switching these off or circumventing them, or importing address lists without consent, is the workspace owner's responsibility. If misuse is suspected, the Provider may — also to comply with the rules of the sending providers — limit or suspend sending.
15.6. Public pages. The workspace owner is responsible for the content of public pages published with the Service, including mandatory information (imprint, privacy notice and — if it sells — its own terms and consumer information).
15.7. Reporting illegal content. Anyone may report content stored in or published with the Service that they consider illegal at hello@pagency.hu (subject: "Illegal content"). The report must include the exact location of the content (URL), the reasons why it is illegal and the reporter's contact details. The Provider investigates the report without delay, removes or restricts access to the content where justified, and notifies the reporter and the Partner of its decision with reasons; the Partner may object at hello@pagency.hu.
15.8. Indemnity. If a third party — including a Client — or an authority makes a claim against the Provider because of a breach by the Partner, one of its Clients or a User (in particular of 6.3, 15.2, 15.3, 15.5 or 15.6), the Partner must indemnify the Provider against such claims and compensate the proven damage arising from them.
16. Data protection
16.1. Two layers. Data processing consists of two separate layers:
| Data | Provider's role | Governing document |
|---|---|---|
| the Partner's and all Users' own data (account, login and security log, billing, support correspondence, partner relationship data) | controller | Privacy Notice |
| User Data entered into the workspaces (15.3) | processor — in the Client Spaces on behalf of the Partner, as further processor | Data Processing Agreement (DPA) |
16.2. The processing chain. For Client Space data, the controller is the Client, the Partner is the Client's processor, and the Provider is the Partner's further processor. Under 6.3 the Partner must conclude a data processing agreement with its Client covering the use of the Provider and the subprocessor list; the Provider fulfils the obligations undertaken towards the Partner in the DPA for the Client Space data as well.
16.3. Assistance. Under the DPA the Provider assists the Partner with data subject requests, handling personal data breaches and meeting security obligations. The Provider notifies the Partner of a personal data breach affecting a workspace within 24 hours of becoming aware of it.
16.4. Subprocessors and transfers. The Provider uses subcontractors (further processors) to provide the Service; their current list is available at https://crewory.app/jog/alvallalkozok. The AI functions involve data transfer to the United States. The Provider gives at least 15 days' notice of a new subprocessor or a change to the list; the Partner may object within 15 days of the notice, after which the parties consult for 15 days. If consultation fails, the Partner may terminate the contract free of charge.
16.5. Linking the "AI marketer". The Provider's other product, the AI marketer, can be linked to a Crewory workspace only if the workspace owner expressly initiates it (with a pairing key). Company-level information is then shared (company profile, services, published pages, aggregate statistics, the company's memory, and notification of incoming leads); the content of client records is not. The link can be removed at any time.
16.6. Confidentiality. The parties keep confidential any business secrets learned during performance and do not disclose them to third parties, except where required by law.
17. Intellectual property, branding
17.1. The Provider's rights. The Service, its source code, structure, interface, documentation, templates and the "Crewory" and "Pagency" marks are the intellectual property of the Provider (or its licensors). The Partner receives a non-exclusive, non-transferable right of use for the term of the subscription, which extends to the branded resale of the Service through Client Spaces (6). Branding does not entitle the Partner to present itself as the author or owner of the Service.
17.2. User Data. User Data remains the property of the workspace owner. The Provider receives a limited, free licence to store, process, display and transmit it solely to provide the Service and perform the contract.
17.3. The Partner's brand. The name, logo and other marks uploaded by the Partner belong to the Partner (or its licensor); the Partner warrants that it is entitled to use them. The Provider uses them solely to display the Partner's workspaces and Client Spaces.
17.4. AI-generated content. The workspace owner may use texts, pages and configurations produced with the AI functions without restriction within its own business. The Provider does not warrant that generated content is unique and free of third-party rights where it derives from the input provided; checking it before use is the user's task.
17.5. Feedback, references. The Provider may use suggestions voluntarily given by the Partner to develop the Service without compensation. The Provider uses the Partner's name and logo as a reference only with the Partner's prior written consent.
18. Liability
18.1. The Provider provides the Service with the care reasonably expected of it, according to the current state of the art; it does not warrant that the Service will operate free of errors and interruptions.
18.2. Limitation of liability. The Provider's liability for damages for breach of contract is capped at the amount of fees actually paid by the Partner to the Provider in the 12 months preceding the event causing the damage. The Provider is not liable for lost profit, loss of business opportunity, damage to reputation or other indirect damage, nor for the Partner's obligations towards its Clients.
18.3. Absolute limits. The limitation under 18.2 does not apply to damage caused intentionally, to damage to life, physical integrity or health caused by breach of contract (Civil Code § 6:152), or where the law excludes limitation of liability.
18.4. AI output. The Provider is not liable for the correctness or completeness of content produced by the AI functions or for the consequences of decisions based on it (4.6).
18.5. Data loss. The Provider seeks to prevent data loss with the backups under 14.5, but is not liable for data loss attributable to the conduct of the Partner, the Client or a User (e.g. own deletion, assignment of permissions, lost password).
18.6. Force majeure. Neither party is liable for breach caused by circumstances beyond its control that were unforeseeable and that it was not obliged to avoid (in particular natural disaster, war, official measures, nationwide network or power outage, prolonged outage of a subcontractor, extensive cyberattack).
19. Amendment of the Terms
19.1. The Provider may amend the Terms unilaterally for good reason, in particular changes in law, an authority's or court's decision, a substantial change in the Service's functions, technological or security changes, or a change in the group of subcontractors.
19.2. The Provider gives notice of an amendment by email and on the interface at least 30 days before it takes effect, describing the substance of the change and the effective date.
19.3. If the Partner does not accept the amendment, it may terminate free of charge with immediate effect until the amendment takes effect. Failure to terminate and continued use of the Service constitute acceptance.
19.4. If the amendment only fulfils a legal obligation, corrects a typo, fills in an item marked as a placeholder (e.g. a subcontractor under selection) following the procedure in 16.4, or is exclusively favourable to the Partner, the 30-day notice may be omitted; the Provider still informs the Partner of the amendment.
19.5. Earlier versions of the Terms can be requested from the Provider at hello@pagency.hu.
20. Complaints, disputes
20.1. Complaints. The Partner may submit a complaint at hello@pagency.hu, on +36 20 979 2801, or by post to 4517 Gégény, Petőfi Sándor utca 47., Hungary. The Provider answers written complaints in writing, on the merits, within 30 days of receipt.
20.2. Data protection remedies. A Data Subject may lodge a complaint with the Hungarian National Authority for Data Protection and Freedom of Information (NAIH; 1055 Budapest, Falk Miksa utca 9–11.; postal address: 1363 Budapest, Pf. 9.; phone: +36 (1) 391-1400; email: ugyfelszolgalat@naih.hu; https://www.naih.hu), or go to the regional court of their place of residence or stay (Privacy Act § 23).
20.3. Governing law. The contract is governed by Hungarian law.
20.4. Jurisdiction. The parties shall first seek to settle disputes by negotiation. For disputes arising from the contract, the parties stipulate the exclusive jurisdiction of the court having jurisdiction at the Provider's registered office.
21. Miscellaneous
21.1. Communication. The parties communicate electronically: the Provider sends notices to the email address given in the Partner's Account, and the Partner sends notices to hello@pagency.hu. A notice sent by email is deemed delivered on the working day following sending. The Partner must keep its email address up to date.
21.2. Assignment. The Partner may not assign its rights and obligations under the contract without the Provider's prior written consent. In case of succession (transformation, transfer of business) the Provider may transfer the contract; it informs the Partner in advance, who may then terminate free of charge.
21.3. Severability. If any provision of the Terms is invalid or unenforceable, the validity of the other provisions is not affected; it is replaced by a valid provision closest to the parties' intention.
21.4. Entire agreement. The contract consists of these Terms, the Price List, the Privacy Notice, the Data Processing Agreement, the order and its confirmation. An individual written agreement (e.g. partner agreement) takes precedence over the Terms.
21.5. No waiver. If a party does not immediately enforce a right under the contract, this does not constitute a waiver of that right.
